Public Offer Agreement

This is a translation provided for convenience. In case of any discrepancy, the Ukrainian version shall prevail.

This document is the official public proposal (offer) of the MeBelle online store (hereinafter, the “Seller”), published on the website mebelle.com.ua, to conclude a distance contract for the sale and purchase of goods. The contract is deemed concluded at the moment the Buyer places an order (acceptance of the offer) in accordance with Articles 633, 641 and 642 of the Civil Code of Ukraine.

1. Definitions

  • Seller — the business entity selling furniture under the MeBelle trademark.
  • Buyer — a legally capable individual or legal entity that has placed an order on the website.
  • Goods — furniture and related products presented on the website, including items made to individual order.

2. Subject of the Agreement

The Seller undertakes to transfer the Goods into the ownership of the Buyer, and the Buyer undertakes to accept and pay for them on the terms of this Agreement. The specifications, price and availability of the Goods are stated on the relevant pages of the website. Images may differ slightly from the actual appearance of the item depending on the chosen fabric, colour and screen settings.

3. Placing an Order

An order is placed via the website cart, the “Quick order” form or by phone. After the order is placed, a manager contacts the Buyer to confirm the contents of the order, the cost, the production time and the delivery terms. The order goes into production after it has been confirmed and the advance payment has been made.

4. Price and Payment

  • Prices on the website are stated in hryvnias (₴). The final cost is agreed with the manager when the order is confirmed.
  • Standard (serial) products: advance payment of 40%, the balance after production / before delivery.
  • Custom orders: advance payment of 70%.
  • Payment by card, by bank transfer or by another agreed method. Online payment on the website is currently not charged automatically; the payment details are provided by the manager.

5. Delivery Terms

Delivery is made throughout Ukraine by Nova Poshta (to a branch or to the door) and by partner transport companies to the Buyer’s home. Collection from the warehouse in Lubny is also possible. The production time of the Goods is 14–21 days (it may be longer for custom sizes). The delivery time and cost depend on the region and the dimensions of the Goods and are agreed with the Buyer before payment. Lifting to the floor, carrying in and assembly of the furniture are not included in the price of the Goods or of delivery: at the Buyer’s request, the Seller arranges them through contractors, and they are paid for separately. 6. Returns and Exchange

Goods of proper quality may be returned or exchanged within 14 days of receipt, provided that their presentable condition, consumer properties, packaging and proof of purchase are preserved (Article 9 of the Law of Ukraine «On Consumer Rights Protection»). Since the furniture is manufactured after the order is placed, to the parameters chosen by the Buyer — model, size, fabric and upholstery colour — such Goods are deemed to be made to individual order and are not subject to return or exchange as goods of proper quality. Goods of improper quality are returned/exchanged in accordance with the applicable legislation.

7. Rights and Obligations of the Parties

The Seller undertakes to manufacture and hand over the Goods within the agreed time and of proper quality. The Buyer undertakes to provide accurate contact details and to accept and pay for the Goods. The Buyer confirms consent to the processing of personal data in accordance with the Privacy Policy.

8. Liability and Force Majeure

The parties bear liability in accordance with the applicable legislation of Ukraine. The parties are released from liability for failure to perform their obligations caused by circumstances of insuperable force (force majeure), including hostilities, for the duration of such circumstances.
